1. About These Terms
These terms and conditions govern the supply of all products and services by Grounded Training Ltd ("we", "us", "Grounded"). They apply to all clients, whether organisations or individuals. Please read them carefully before placing an order.
2. Our Services
We offer the following products and services:
- Level 1 — Foundation: Self-guided digital NVR training programme with lifetime access, for organisations and individual professionals.
- Level 2 — Embedded: Live-delivered NVR training programme, available online and in-person, with embedding infrastructure including an AI practice companion tailored to NVR, WhatsApp practice prompts, and monthly live Q&A.
- NVR Parenting Programme: A 12-week live group programme, capped at 20 parents per cohort, delivered via Google Meet for individual parents and carers, based on Non-Violent Resistance principles, supported between sessions by an AI practice companion tailored to NVR and WhatsApp support, including a weekly Q&A with Tyler.
- AI Efficiency Audit: Fixed-scope written assessment of organisational AI readiness and time recovery opportunities.
- AI Implementation: Project-based support for implementing AI tools within an organisation, governed by individual project agreements.
3. Orders and Acceptance
All orders are subject to our acceptance. A contract is formed between you and Grounded Training Ltd when we provide written confirmation of your order or booking. We reserve the right to decline any order before confirmation is issued.
4. Pricing and Payment
All prices are stated in pounds sterling (GBP) and, unless otherwise specified, are exclusive of VAT where applicable. Payment is due within 14 days of invoice unless agreed otherwise in writing. We reserve the right to charge statutory interest on overdue payments under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Delivery of Services
Service delivery timelines are as follows, subject to any variations confirmed in writing:
- Level 1: Access granted within 48 hours of payment being received and cleared.
- Level 2: Programme access and scheduling begins from the confirmed first training day. Onboarding materials are provided within five working days of payment. The AI practice companion, WhatsApp practice prompts, and monthly live Q&A run throughout the 3-month embedding period.
- NVR Parenting Programme: Cohort start dates are confirmed on payment or on agreement of an instalment plan. Sessions are delivered live via Google Meet, weekly, for 12 consecutive weeks, with the AI practice companion and WhatsApp support, including the weekly Q&A, running alongside for the full 12 weeks. Each cohort is capped at 20 parents; where two carers from the same household attend, each requires a separate booked place.
- AI Efficiency Audit: The written report is delivered within 15 working days of the scoping call taking place, provided all required information has been supplied.
6. Cancellation and Refunds
Cancellation and refund terms are set out in our Refund Policy, which forms part of these terms and conditions.
7. Intellectual Property
All training materials, written content, slide decks, frameworks, tools, workbooks, and resources produced or provided by Grounded Training Ltd remain our intellectual property at all times. We grant clients and programme participants a limited, non-transferable licence to use materials for internal organisational or personal family use only. You may not copy, reproduce, distribute, sell, resell, or share materials — in whole or in part — with any third party without our prior written consent. Recording of live sessions is not permitted without explicit written agreement.
8. Confidentiality
Both parties agree to keep confidential any sensitive information disclosed in connection with the engagement. For the NVR Parenting Programme, this includes what is shared by other parents within a group session: participants agree not to share other parents' stories or details outside the group. This includes, but is not limited to, pricing, business processes, client data, and unpublished materials. This obligation survives the termination of any contract.
9. Data Protection
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy sets out how we collect, use, and store personal data. By engaging with our services you confirm that any personal data you provide about your staff, delegates, or family members is shared with appropriate consent or lawful basis.
10. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, consequential, or special loss arising out of or in connection with our services, including loss of profit, loss of contracts, or reputational damage. Our total liability to you in respect of any claim shall not exceed the total fees paid to us in the 12-month period preceding the claim. Our services provide training, facilitation, analysis, and recommendations. They do not constitute clinical, therapeutic, legal, safeguarding, or regulatory advice, and outputs should not be relied upon as such. The NVR Parenting Programme does not create a therapeutic relationship between any participant and Grounded Training Ltd.
11. Termination
Either party may terminate a contract by giving written notice if the other party is in material breach and has failed to remedy that breach within 14 days of written notice to do so. We may terminate immediately and without notice if payment is overdue by more than 14 days or if there is a breach of our intellectual property rights.
12. Force Majeure
Neither party shall be liable for failure to perform obligations where that failure results from circumstances beyond their reasonable control, including but not limited to illness, natural events, or infrastructure failure. Where a live training event or programme session is affected, we will offer to reschedule. If rescheduling is not possible, a full refund of fees paid will be issued.
13. Governing Law
These terms and any contracts formed under them are governed by the law of England and Wales. In the event of a dispute, the parties agree to attempt resolution in good faith through negotiation before commencing any legal proceedings.
14. General
These terms, together with any written proposal, booking confirmation, and our Refund Policy, constitute the entire agreement between the parties and supersede all prior representations or discussions. If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. A failure to enforce any provision of these terms shall not constitute a waiver of that provision. You may not assign any rights or obligations under these terms without our prior written consent.
